Terms of Service

These terms govern your use of Mentibus. Please read them carefully before using our service.

We've updated our governing terms to remove references to Mentibus's Privacy Shield Certification contained in our GDPR Privacy Policy and Data Use Addendum, as Mentibus adheres to the Standard Contractual Clauses (as such term is defined in our Data Use Addendum) in accordance with applicable laws. The foregoing changes went into effect on April 30th, 2026.

PLEASE NOTE THAT YOUR USE OF AND ACCESS TO OUR SERVICE (DEFINED BELOW) IS SUBJECT TO THE FOLLOWING TERMS. IF YOU DO NOT AGREE TO ALL OF THE FOLLOWING, YOU MAY NOT USE OR ACCESS THE SERVICE IN ANY MANNER.

Welcome to Mentibus. Please read on to learn the rules and restrictions that govern your use of our websites, products, services and applications (the "Service"). If you have any questions, comments, or concerns regarding these terms or the Service, please contact us at policy@mentibus.com.

These Terms of Service (the "Terms") are a binding contract between you and Mentibus, Inc. ("Mentibus," "we," "our" and "us"). By using the Service in any way, you agree to and accept all of these Terms, and these Terms will remain in effect at all times while you use the Service or any data obtained through the Service. These Terms govern your access to the Service and use of all data, content and other information on Mentibus's websites, applications, products and other properties and include the provisions in this document, as well as those in the Mentibus Marketplace Terms of Service, Attribution Instructions, Data Use Addendum, Copyright Dispute Policy, Privacy Policy, GDPR Privacy Policy, and Cancellation Policy.

These Terms include information about future changes to these Terms, automatic renewals, limitations of liability, a class action waiver and resolution of disputes by arbitration instead of in court.

ARBITRATION NOTICE AND CLASS ACTION WAIVER: EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE ARBITRATION SECTION BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Will these Terms ever change?

We are constantly trying to improve our Service, so these Terms may need to change along with the Service. We reserve the right to change these Terms at any time, but if we do, we will bring it to your attention by placing a notice on the Mentibus website, by sending you an email, and/or by some other means.

If you don't agree with the new Terms, you are free to reject them; unfortunately, that means you will no longer be able to use the Service. If you use the Service in any way after a change to these Terms is effective, that means you agree to all of the changes.

Except for changes by us as described here, no other amendment or modification of these Terms will be effective unless in writing and signed by you and Mentibus.

What about my privacy?

Mentibus takes the privacy of its users very seriously. For the current Mentibus Privacy Policy, please refer to our Privacy Policy.

The Children's Online Privacy Protection Act ("COPPA") requires that online service providers obtain parental consent before they knowingly collect personally identifiable information online from children. We do not knowingly collect or solicit personally identifiable information from children under 16; if you are a child under 16, please do not attempt to register for the Service or send any personal information about yourself to us. If we learn we have collected personal information from a child under 16, we will delete that information as quickly as possible. If you believe that a child under 16 may have provided us personal information, please contact us at policy@mentibus.com.

What are the basics of using the Service?

As part of using the Service you may be required to sign up for an account and select a password and email or user name (your "Mentibus User ID"). You promise to provide us with accurate, complete, and updated registration information about yourself. You may not select as your Mentibus User ID a name that you don't have the right to use, or another person's name with the intent to impersonate that person. Your right to access the Service is personal to you and you may not transfer your account to anyone else without our prior written permission. You will not share your account or password with anyone, and you must protect the security of your account and your password. You're responsible for any activity associated with your account. You will only use the Service and Content (defined below) in a manner that complies with all laws that apply to you. If your use of the Service is prohibited by applicable laws, then you aren't authorized to use the Service. We can't and won't be responsible for your use of the Service in any way that breaks the law.

You represent and warrant that you are of legal age to form a binding contract (or if not, you've received your parent's or guardian's permission to use the Service and gotten your parent or guardian to agree to these Terms on your behalf). If you're agreeing to these Terms on behalf of an organization or entity, you represent and warrant that you are authorized to agree to these Terms on that organization or entity's behalf and bind them to these Terms.

Your use of the Service is subject to the following additional restrictions. You represent, warrant, and agree that you will not contribute or submit any User Submission (defined below) or other materials or otherwise use the Service or interact with the Service in a manner that:

  • Infringes or violates the intellectual property rights or any other rights of anyone else (including Mentibus);
  • Violates any law or regulation, including without limitation any applicable export control laws and/or data privacy laws, or would cause Mentibus to be in violation of any law or regulation (including, without limitation, any laws relating to labor, employment, or the issuance of securities);
  • Is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable;
  • Jeopardizes the security of your Mentibus account or anyone else's (such as allowing someone else to log in to the Service as you);
  • Attempts, in any manner, to obtain the password, account, or other security information from any other user;
  • Violates the security of any computer network, or cracks any passwords or security encryption codes;
  • Runs any form of auto-responder or "spam" on the Service, or any processes that run or are activated while you are not logged into the Service, or that otherwise interfere with the proper working of the Service (including by placing an unreasonable load on the Service infrastructure).

A violation of any of the foregoing is grounds for account suspension or termination of your right to use or access the Service.

What are my rights with respect to the Service?

The materials displayed or published or available on or through the Service, including, but not limited to, text, graphics, data, articles, information, photos, images, illustrations, User Submissions, and so forth (all of the foregoing, the "Content") are protected by copyright and/or other intellectual property laws.

You promise to abide by all copyright notices, trademark rules, information, and restrictions contained in any Content you access through the Service in any way (including through the Mentibus website, API, mobile applications, downloads, etc.). You will not use, copy, reproduce, adapt, modify, publish, broadcast, transmit, distribute, perform, upload, display, license, sell or otherwise exploit any Content not owned by you in a way that violates someone else's (including Mentibus's) rights.

Notwithstanding the foregoing, you may display insubstantial excerpts of Content for criticism, commentary, news reporting, teaching, scholarship, research and similar purposes, provided that the use does not compete with the Service and that proper attribution is given to Mentibus (please follow our Attribution Instructions to ensure that you are properly attributing Mentibus).

You understand that Mentibus owns the Service. You won't modify, publish, transmit, participate in the transfer or sale of, reproduce (except as expressly provided in this Section), create derivative works based on, re-sell, sublicense, re-distribute, or otherwise exploit any aspect of the Service without our prior written consent.

If you would like to use Content in any manner other than as expressly permitted by these Terms (for example, exporting data via Mentibus's API or including data in any other product or service), please visit our products page to learn more about the different ways that Mentibus provides its data and find the solution that is right for you.

You may be required to submit an application and/or meet certain eligibility criteria in order to participate in a program, and there may be different terms and conditions which apply to the specific program that you choose. You must agree to all terms and conditions and, if applicable, pay all required fees which apply to your specific program. These Terms apply to all such programs unless specifically stated otherwise in the applicable program terms.

Subject to your compliance with these Terms, you may access and use the Snapshot and the ODM pursuant to the Creative Commons Attribution License. The Snapshot must be attributed to our designated pseudonym "Mentibus 2026 Snapshot" and bear the copyright notice "© 2026" in accordance with the Creative Commons requirements. The pseudonym and copyright notice are meant to avoid confusion with the current Mentibus dataset and to promote transparency to users of the data. Do I have to grant any licenses to Mentibus or to other users?

Certain parts of the Service may allow you to integrate with other third-party accounts of yours, such as data from your productivity tools (e.g. CRMs, e-mail, sales engagement tools, etc.). If you choose to use these parts of the Service, you grant Mentibus all licenses and rights necessary for Mentibus to provide the Service to you, including a license for Mentibus to read and write to your third-party account, to extract data from and upload data to your third-party account, and to share data extracted from your third-party account with other members of your team or institution, as further described in the next paragraph.

Anything you post, upload, share, store, integrate with or otherwise provide through the Service is your "User Submission." Some User Submissions (such as profile data you contribute to Mentibus, or information you elect to share with other users through the Service, such as your team members) are viewable by other users.

For all User Submissions, you hereby grant Mentibus a royalty-free, perpetual, sublicensable, irrevocable, and worldwide license to translate, modify, aggregate, reproduce, display, distribute, and otherwise use and exploit such User Submissions for Mentibus's business purposes, including to provide, develop, and improve our products and services, except, for the avoidance of doubt, the foregoing shall not permit Mentibus to publish, display or distribute your data from your productivity tools (e.g. CRMs, e-mail, sales engagement tools, etc.) in a manner that is identifiable as originating from you without your written consent.

Please note that the foregoing license is subject to our Privacy Policy to the extent it relates to User Submissions that are also your personally-identifiable information, and to our Data Use Addendum to the extent it relates to User Submissions that are the personally-identifiable information of another person. You are prohibited from including Social Security Numbers, driver's license numbers, passport numbers, financial account and payment card information (except where expressly requested by Mentibus), precise geolocation, and health and biometric information as part of any User Submission.

Who is responsible for what I see and do on the Service?

Any information or Content publicly posted or privately transmitted through the Service is the sole responsibility of the person or organization from whom such Content originated. You access all such information and Content at your own risk, and we aren't liable for any errors or omissions in that information or Content or for any damages or loss you might suffer in connection with it. We cannot control and have no duty to take any action regarding how you may interpret and use the Content or what actions you may take as a result of having been exposed to the Content, and you hereby release us from all liability for you having acquired or not acquired Content through the Service. We can't guarantee the identity of any users with whom you interact when using the Service and are not responsible for which users gain access to the Service.

You are responsible for all Content you contribute, in any manner, to the Service, and you represent and warrant you have all rights necessary to do so, in the manner in which you contribute it. Content includes, without limitation, personally identifiable information about you or any other person. You will keep all your registration information accurate and current. You are responsible for all your activity in connection with the Service.

Content that constitutes personally identifiable information may be subject to privacy laws or regulations, and your use of all such Content must at all times comply with the terms of our Data Use Addendum. You are solely responsible for understanding how privacy laws and regulations may impact your use of such Content and for ensuring that your use (including retention, storage, and all other forms of processing) complies with all such laws and regulations.

The Service may contain content, data, links or connections to or from third-party websites or services that are not owned or controlled by Mentibus ("Third-Party Service(s)"). When you access or use Third-Party Services, you accept that there are risks in doing so, and that Mentibus is not responsible for such risks. We encourage you to be aware when you leave the Service and to read the terms and conditions and privacy policy of each Third-Party Service that you visit or utilize.

Mentibus has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices of or opinions expressed in any Third-Party Services or by any third-party that you interact with through the Service. In addition, Mentibus will not and cannot monitor, verify, censor or edit the content of any Third-Party Services. By using the Service, you release and hold us harmless from any and all liability arising from your access to or use of any Third-Party Service.

Your interactions with organizations and/or individuals found on or through the Service, including payment and delivery of goods or services (if applicable), and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such organizations and/or individuals. You should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction with any of these third-parties. You agree that Mentibus shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings.

If there is a dispute between participants on this site, or between users and any third-party, you agree that Mentibus is under no obligation to become involved. In the event that you have a dispute with one or more other users, you release Mentibus, its affiliates, and its and their directors, officers, agents, employees, partners, and successors from claims, demands, and damages of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and/or our Service. If you are a California resident, you shall and hereby do waive California Civil Code Section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." If you are not a California resident, you shall and hereby do waive any laws similar to California Civil Code Section 1542 which apply in your jurisdiction.

Will Mentibus ever change the Service?

We're always trying to improve the Service, so it may change over time. We may suspend or discontinue any part of the Service, or we may introduce new features or impose limits on certain features or restrict access to parts or all of the Service. We'll try to give you notice when we make a material change to the Service that would adversely affect you, but this isn't always practical. Similarly, we reserve the right to remove any Content from the Service at any time, for any reason (including, but not limited to, if someone alleges that Content was contributed in violation of these Terms), in our sole discretion, and without notice.

From time to time, Mentibus may require you to expunge some or all of the Content in your possession, and you will do so promptly upon request.

Does using Mentibus cost anything?

We reserve the right to charge for certain parts or all of the Service. Certain aspects or uses of the Service require you to pay fees, for example, in order to access certain content or be able to download or export data. Visit our products page for current descriptions of these services and the applicable fees. You agree to pay all fees which apply to your use of the Service. Mentibus reserves the right to change any fees and pricing applicable to the Service at any time upon notice to you (which may be sent by email or posted on Mentibus's website). Your use of the Service following such notification constitutes your acceptance of any new or increased fees.

What if I want to stop using Mentibus?

You're free to do that at any time; please refer to our Cancellation Policy and Privacy Policy, as well as the licenses above, to understand how we treat information you provide to us after you have stopped using our Service.

Mentibus is also free to terminate (or suspend access to) your use of the Service or your account, for any reason in our discretion, including your breach of these Terms. Mentibus has the sole right to decide whether you are in violation of any of the restrictions set forth in these Terms.

Account termination may result in destruction of any Content associated with your account, so keep that in mind before you decide to terminate your account. Provisions that, by their nature, should survive termination of these Terms shall survive termination. By way of example, all of the following will survive termination: any obligation you have to pay us or indemnify us, any limitations on our liability, any terms regarding ownership or intellectual property rights, and terms regarding disputes between us.

Additionally, upon termination of your account Mentibus may require you to expunge some or all of the Content in your possession, and you will do so promptly.

I use the Mentibus App available via the Apple App Store — should I know anything about that?

These Terms apply to your use of all parts of the Service, including, without limitation the iPhone and iPad applications available via the Apple, Inc. App Store (the "Apple Application"), but additional terms also apply to the Apple Application. These Terms also apply to any Android application, desktop application, and browser extension versions of the Service that may be made available from time to time.

I use Mentibus's Engagement Suite — should I know anything about that?

These Terms apply to your use of all parts of the Service, including, without limitation our Engagement Suite ("Engagement Suite"), but additional terms also apply to our Engagement Suite.

Notwithstanding the foregoing or anything to the contrary in the Terms, Mentibus's use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

Additional Terms For Mentibus Marketplace

By accessing the Marketplace feature on our Service, you acknowledge and agree that you have read and are bound to any additional third-party terms and conditions that apply to the content or data you access through the Marketplace. Without limiting the foregoing, a list of Mentibus's current Marketplace partners' terms is provided on our Mentibus Marketplace Terms of Service page. Please review those terms and conditions carefully prior to accessing any third-party data through the Marketplace.

What is the Points and Rewards Conversion system?

The Service operates a points attribution system that rewards users for contributing to the Mentibus data graph. Points are earned for adding data, validating entries, claiming profiles, referring users, and completing challenges. Accumulated points may be converted, at the user's choice, into either (i) subscription credit applied against current or future subscription fees on the platform, or (ii) a fiat cash payout via the Company's payment processor (Stripe Connect) to the user's bank account or debit card. Conversion is subject to a minimum payout threshold (currently USD 25 or equivalent), the Company's current points-to-value conversion rate (which is set by the Company and may be revised with reasonable prior notice), successful completion of identity verification where required by applicable anti-money-laundering law, and submission of any required tax documentation. Points have no cash value until converted in accordance with this Section and are not transferable, saleable, or redeemable outside the Service.

What is the data attribution and challenge system?

All data on the Service is assigned a designation: Requested, New, Validated, Verified, or Challenged/Settling/SettledToNew. You may challenge data you believe to be incorrect. The first challenger receives the "New Data" contributor position; subsequent challengers receive Validator positions. Challenges are resolved when a sufficient number of validators agree within the prescribed time windows. Attribution metadata is immutable and visible via the data attribution interface. Successful challenges and validations are rewarded through the Points system.

What should I know about AI Agents, API, MCP, and x402?

The Service includes AI agentic enrichment features available to AI Agents tier and Enterprise subscribers. Each data page may be equipped with an automated workflow that proposes data updates, which users validate. AI agent activity is logged and attributed. The Company reserves the right to rate-limit agent usage to protect platform integrity. API access (including MCP and x402 integration) is available to qualifying subscribers. You may not use the API or AI agent features to scrape, bulk extract, or resell raw data, or to train commercial machine learning models outside the Service, without the Company's prior written consent. Rate limits, authentication requirements, and SLAs are published in the developer documentation on the Company's website.

What is Social Poking / Matchmaking?

The Service includes a social discovery feature ("Social Poking" or "Matchmaking") that surfaces other users who share common tags, interests, or, where you have enabled location sharing, are geographically nearby. You may initiate a "poke" (a lightweight interaction, typically via GIF or message) with other users. Location sharing is strictly opt-in and may be disabled at any time in your account settings. If you enable location sharing, the Service may display your approximate distance (e.g., "~1.2 miles from you") to other users you are matched with. You acknowledge that Social Poking is intended for professional networking and that interactions with other users are at your own risk. The Service is not responsible for the conduct of other users or the outcome of any interactions. You must not use Social Poking to harass, stalk, or threaten any person, or to contact minors inappropriately.

What are Dealrooms and how does KYC/escrow work?

Enterprise subscribers may access the Dealroom feature, which provides temporary, KYC-verified group rooms with escrow functionality for deal conversations, including Snapchat-style flash sales and proof-of-investment tooling. Participation in a Dealroom requires completion of the Company's Know Your Customer (KYC) process, which may include identity verification, sanctions screening, and source-of-funds checks. Escrow services within Dealrooms are operated by a third-party escrow provider; the Company acts as facilitator only and accepts no liability for the acts, omissions, insolvency, or regulatory status of the escrow provider. Nothing in the Dealroom feature constitutes the provision of regulated investment advice, brokerage, custody, or money transmission. The Company is not a financial services provider. You are solely responsible for determining whether your use of Dealrooms complies with applicable securities, AML, and other regulatory requirements in your jurisdiction. You must not use Dealrooms for any unlawful purpose, including money laundering, terrorist financing, market manipulation, or transactions involving sanctioned persons or jurisdictions.

What about Leaderboards and Performance Badges?

The Service includes monthly-resetting global and category-specific leaderboards (e.g., Top Contributor, Top Validator, Top Curator, Top Referrer). Leaderboards are public by default; you may opt out of public visibility while remaining eligible for rewards. High-performing users may be issued digital Performance Badges containing metadata including category, period (month/year), and rank achieved. Badges may unlock temporary point-earning multipliers in subsequent periods. Badges are non-transferable, are not intended to represent financial value or investment securities, and do not constitute an offer of securities. The Company reserves the right to revoke badges, adjust leaderboard positions, or withhold rewards in cases of manipulation, fraudulent activity (including Sybil attacks), or breach of these Terms.

What are Notes and what are the rules for them?

You may create text-based annotations ("Notes") attached to entity profiles (Companies, Investors, Events, Lists). Notes may be set to Private, Group-shared, or Public visibility. Public Notes may earn points when engaged with by other users. Notes are your User Submissions and are subject to the licensing provisions in these Terms. You must not post Notes that are defamatory, harassing, obscene, fraudulent, misleading, or that contain personally identifiable information of third parties without lawful basis, confidential information of others, malware, or unlawful content. The Company may, in its sole discretion, moderate, hide, or remove Notes that violate these Terms, applicable law, or community standards, and may suspend accounts for repeat violations. You acknowledge that the Company is not obligated to review or pre-moderate Notes.

What about Groups and data sharing within Groups?

You may create and manage Groups (e.g., "Mentors", "Investors", "Friends") with defined member lists and permission levels (Read, Write, Query, Notify). You may share data, Notes, and AI agent context within your Groups, with optional time-bound or event-triggered access rules. The Company maintains audit logs of data access events within Groups, which are exportable by Group owners on request. You are responsible for determining the appropriate sharing permissions within your Groups and for ensuring that such sharing complies with applicable law, including data protection law. You may revoke access from any Group member at any time. The Company reserves the right to remove Groups that violate these Terms.

What are Power Data Apps and can I build one?

Power Data Apps are automated data ingestion pipelines that feed external data sources (Telegram, podcasts, events, newsletters, RSS, email via Gmail API) into the Mentibus graph. Qualifying users may build and operate Power Data Apps subject to the Company's standardised schema, enrichment pipeline, and quality filters. If you operate a Power Data App, you warrant that you have all necessary rights and consents to ingest the underlying data into the platform and that such ingestion complies with the terms of the source (including third-party APIs, their terms of service, and applicable copyright and data protection laws). You are solely responsible for ensuring that your Power Data App does not exceed third-party rate limits, does not scrape prohibited content, and does not violate platform-specific rules. The Company may suspend or terminate Power Data Apps that fail quality thresholds, violate these Terms, or cause disruption to the Service.

What is Proof of Transaction?

Where applicable, the Service supports proof-of-transaction verification for investment rounds and similar events (e.g., transaction hash for on-chain transactions, EDGAR filing link for registered securities). Proof-of-transaction data is subject to mutual validation between the claimed investor and investee. Only verified/unverified status is displayed publicly; underlying transaction identifiers are not disclosed unless expressly authorised by both parties. You warrant that any proof-of-transaction data you submit is accurate and that you have the right to submit it. Falsely claiming an investment or transaction is a material breach of these Terms.

How does the Referral Tree work?

The Service operates a multi-tier referral program ("Referral Tree"). Contribution points generated by users you refer flow upward through the tree at decreasing weights (Level 1: 25%, Level 2: 10%, Level 3: 5%). Only verified users (wallet, email, or paid account) count toward referral rewards. Referrals must be genuine; you must not abuse the system through self-referrals, fake accounts, Sybil attacks, or purchased referrals. The Company reserves the right to invalidate referrals, claw back rewards, and suspend accounts engaged in fraudulent referral activity.

What should I know about on-chain verification for Dealrooms?

The Dealroom feature may permit participants to attach an on-chain transaction hash (or equivalent public record such as an EDGAR filing link) as proof of an investment or transfer. Where you elect to use this verification mechanism, you are solely responsible for any self-custodial wallet you use, for the security of your private keys, and for any network fees. Public blockchain transactions are irreversible and visible on the relevant chain; the Company has no ability to reverse, amend, or erase on-chain records. The Company does not itself issue or custody cryptocurrency and is not a cryptocurrency exchange, broker, or wallet provider.

What are the age, tax, and eligibility requirements?

You must be at least eighteen (18) years old to use features involving points-to-cash conversion, Dealroom access, escrow services, or any other financially-adjacent functionality. You must not reside in, or be a citizen or resident of, any jurisdiction where participation in such features is prohibited by applicable law. Users requesting a fiat payout of accumulated points must provide valid tax documentation where required (e.g., IRS Form W-9 for U.S. residents; IRS Form W-8BEN for non-U.S. residents; or an equivalent tax identification number for residents of the European Union and other jurisdictions). You are solely responsible for determining and meeting the tax consequences of any points earned, converted, or paid out, including reporting obligations in your jurisdiction. The Company does not provide tax advice. Where required by applicable law, the Company will issue applicable tax information forms (e.g., IRS Form 1099 for U.S. payees exceeding the applicable threshold).

What are my data protection rights (GDPR / UK GDPR / equivalent)?

Where you are located in the European Union, the United Kingdom, or another jurisdiction with equivalent data protection laws, you have the rights of access, rectification, erasure, restriction, portability, and objection in respect of your personal data, subject to applicable exceptions. To exercise these rights, contact policy@mentibus.com. You acknowledge that certain on-chain records (e.g., token transactions, badge issuance) are technically immutable and cannot be erased; where erasure is not technically feasible, the Company will anonymise or pseudonymise data to the maximum extent possible. Personal data may be transferred outside the European Economic Area under Standard Contractual Clauses or other appropriate safeguards.

What about anti-money laundering and sanctions compliance?

You warrant that you are not a Sanctioned Person and do not act on behalf of a Sanctioned Person. Are users employees, agents, or contractors of the Company?

No. Users contributing data to the Service and earning points do so as independent third parties.
